1. Appointment of Auditors for fiscal year 2002/2003.

Be it Resolved that the firm of Lemire, Morin and Tremblay be appointed as the auditors for Fiscal year 2002/2003.

2. Setting of Auditors fees:

Be it resolved that the auditors fees be set at $4500.00 plus Taxes for the fiscal year 2002/2003.
